Payment terms for our services will be specified in individual service agreements or proposals. General payment terms include:

• Invoices are due within 30 days of issuance unless otherwise specified
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation shall survive the termination of any service agreement.

7. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We do not guarantee that our services will be uninterrupted or error-free

You agree to indemnify, defend, and hold harmless Shadow Sentinels, IOWA EIGHT, LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

9. Termination

Either party may terminate the service relationship:

• With written notice as specified in the service agreement
• Immediately if the other party breaches these terms
• Upon completion of the agreed-upon services

Upon termination, you shall pay for all services rendered up to the termination date.

10. Dispute Resolution

Any disputes arising from these Terms of Service or our services shall be:

• First attempted to be resolved through good-faith negotiation
• If negotiation fails, submitted to binding arbitration in Orange County, California
• Governed by the laws of the State of California
